Corporate Governance Issues in Fund Management

Module description

The module will cover the following topics: evolution of corporate governance including international developments in corporate governance, with a particular emphasis on the fund management perspective.  The module also examines the role of fund managers and the corporate governance issues with which they are concerned, for example, board structures; executive remuneration; non-executive directors.  The module will also look at some of the regulatory aspects of corporate governance relating to fund managers, and at the impact of various guidelines and codes on shareholder activism, including recent developments following on from the global financial crisis.

Learning outcomes

By the end of the module you should be able to:

  • discuss the current developments in corporate governance codes, institutions and regulations in selected countries;
  • evaluate the role of fund managers in promoting standards of good corporate governance in selected countries;
  • critically review the debate on the role and responsibilities of fund managers;
  • discuss the relationship between trustees, fund managers, and beneficiaries.
