Module description

The definition of agency and the establishment of the agency relationship, the making of contracts by agents and the power of the agent to bind the principal; the agent's actual (express), usual, implied or apparent (ostensible) authority; the doctrine of undisclosed principal; the duties which the principal and agent owe to each other and the remedies available to them for breach of duty; liability of the principal for torts committed by the agent.

The nature and identity of partnerships, the liability of partners to third parties for contracts, torts and equitable wrongs, the fiduciary relationship, partnership capital, profits and property, dissolution and winding up of partnerships; and limited partnerships.
